Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you" or "User") and WZJ Infinity Ltd ("we," "us," "our," or "Company"), governing your access to and use of the Convenu application, website, and related services (collectively, the "Service").

By creating an account, connecting a wallet, or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

  • You must be at least 16 years of age to use the Service.
  • By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
  • If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

  • You may create an account using Google OAuth or Telegram authentication.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You agree to provide accurate, current, and complete information during registration.
  • You must notify us immediately of any unauthorized use of your account.

4. Description of the Service

Convenu is an all-in-one trip planning and networking tool that provides:

  • Itinerary Planning: Create, edit, and manage travel itineraries with events, transit details, and metrics.
  • Contact Management (CRM): Store and organize professional contacts with notes, tags, and export to CSV.
  • Itinerary Sharing: Share itineraries with other users via links, with visibility controls.
  • Event Import: Import events from your Google Calendar (read-only access) and from Luma (lu.ma) event URLs.
  • Discover: Search for Luma events by city or location using the Brave Search API, browse Luma organization profiles, and add discovered events directly to your itineraries. Save organizations to the community registry to benefit all users. Search results are cached for up to 6 hours.
  • Telegram Bot: Create and manage contacts, itineraries, and events via the @convenubot Telegram bot. Forward messages to automatically create contacts.
  • AI Contact Enrichment: An AI-powered feature that generates professional profiles for your contacts, including summaries, background, talking points, social links, and suggested tags. Each enrichment includes a confidence score (low, medium, or high). You receive 10 AI enrichments per month.
  • Follow-Up Messaging: Compose personalized messages using variable templates ({firstName}, {eventTitle}, etc.) and open Telegram DMs to send to your contacts. Messages are not sent automatically; you initiate each send. You may filter contacts by itinerary, date met, and other criteria.
  • X/Twitter Verification: Connect your X (Twitter) account via OAuth 2.0 to verify your identity and contribute to your trust score. X Premium status is detected for trust scoring. One X account may be linked to one Convenu account.
  • Proof of Handshake: A blockchain-based feature that creates verifiable records of in-person meetings via compressed NFTs on the Solana network.
  • Trust Scores and Points: A reputation system (0–100) based on verified handshakes, wallet history, social signals (including Telegram and X/Twitter verification), and event attendance. Five badge levels: Newcomer, Verified, Trusted, Established, and Champion.
  • Dashboard: Overview of your handshakes, points, and trust metrics.
  • Print/Export: Export itineraries as printable PDFs.

4.1 Usage Limits

The Service enforces the following limits per account:

  • 10 itineraries (max 365 days each, up to 20 events per itinerary)
  • 100 contacts (up to 3 tags and 10 notes per contact)
  • 10 user-defined tags
  • 10 AI contact enrichments per month (resets monthly)
  • 10 Discover event searches per month on the free tier; 50 per month on the premium tier (resets monthly)
  • 3 custom follow-up message templates

The Service currently has a platform-wide limit of 100 registered users. We reserve the right to modify these limits at any time.

5. Wallet Connection and Blockchain Features

5.1 Self-Custody

Convenu is a non-custodial application. We do not hold, manage, or have access to your private keys, seed phrases, or wallet funds. You are solely responsible for the security of your wallet and credentials.

5.2 Permanent Wallet Binding

When you verify a Solana wallet with the Service, the binding between your account and wallet address is permanent and cannot be changed. One wallet address may be linked to only one user, and one user may link only one wallet. Before verifying, ensure you are connecting the correct wallet. This binding is enforced to prevent trust score manipulation and Sybil attacks.

5.3 Third-Party Wallets

Wallet services (such as Phantom and Solflare) are provided by independent third parties. Your use of these wallets is governed by their respective terms of service and privacy policies. We are not responsible for the performance, security, or availability of third-party wallet providers.

5.4 Proof of Handshake

  • Proof of Handshake is a feature that mints a compressed NFT (cNFT) on the Solana blockchain when two users verify an in-person meeting.
  • Each party pays a transaction fee of approximately 0.01 SOL per handshake to cover on-chain costs.
  • Pending handshakes expire after 48 hours if not completed.
  • Once minted, the blockchain record is permanent and immutable. It cannot be reversed, edited, or deleted by us or any party.
  • Handshakes award 10 points to each party upon completion.

5.5 Blockchain Risks

By using blockchain features, you acknowledge and accept:

  • Blockchain transactions are irreversible. Errors in wallet addresses or transaction parameters cannot be undone.
  • The value of SOL and digital assets is highly volatile and may fluctuate significantly.
  • Network congestion, outages, or protocol changes on Solana may affect transaction processing.
  • You are responsible for ensuring sufficient SOL balance to cover transaction fees.
  • We do not guarantee the future value, utility, or transferability of any NFTs minted through the Service.

6. User Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to the Service, other users' accounts, or our infrastructure.
  • Upload or transmit malicious code, viruses, or harmful content.
  • Impersonate another person or misrepresent your affiliation with any entity.
  • Use the Service to harass, abuse, or harm other users.
  • Circumvent, disable, or interfere with security features of the Service.
  • Use automated systems (bots, scrapers) to access the Service without prior written consent.
  • Abuse the handshake or points system through fraudulent or sham meetings.
  • Create multiple accounts to manipulate trust scores or points.
  • Use AI enrichment results to harass, stalk, or make unsolicited contact with individuals.
  • Rely on AI-generated enrichment data as verified fact without independent confirmation.

7. User Content

  • You retain ownership of the content you create within the Service (itineraries, contacts, notes).
  • By using the Service, you grant us a limited, non-exclusive license to host, store, and display your content solely for the purpose of providing the Service to you and those you share it with.
  • You are solely responsible for the accuracy and legality of content you create or upload.
  • We reserve the right to remove content that violates these Terms or applicable law.

8. Intellectual Property

  • The Service, including its design, code, logos, trademarks, and original content, is owned by WZJ Infinity Ltd and protected by intellectual property laws.
  • You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
  • The Convenu name and logo are trademarks of WZJ Infinity Ltd.

9. Third-Party Services

The Service integrates with third-party services including Google, Telegram, Brave Search, Solana RPC providers, and wallet applications. These integrations are provided "as is." We do not control and are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party services is at your own risk and subject to their respective terms.

10. Fees

  • Access to the core Service (itinerary planning, contact management, sharing, event discovery) is currently provided free of charge, subject to free-tier usage limits. A premium tier may offer higher usage limits (e.g., 50 Discover searches per month vs. 10 on the free tier).
  • Blockchain transactions (Proof of Handshake) require SOL to cover on-chain fees. These fees are paid directly to the Solana network and are not retained by us.
  • We reserve the right to introduce paid features or subscription plans in the future with reasonable prior notice.

11. Service Availability and Modifications

  • We strive to maintain the Service's availability but do not guarantee uninterrupted or error-free operation.
  • We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.
  • We are not liable for any modification, suspension, or discontinuation of the Service.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

  • The Service will be uninterrupted, secure, or error-free.
  • Results obtained from the Service will be accurate or reliable.
  • The Solana blockchain or any third-party service will function as expected.
  • Any digital assets (including NFTs) will retain their value.

12.1 Not Financial Advice

Nothing in the Service constitutes financial, investment, legal, or tax advice. The inclusion of blockchain features does not represent a recommendation to purchase, sell, or hold any digital assets. You should consult qualified professionals for financial decisions.

12.2 AI-Generated Content

AI Contact Enrichment results are generated by third-party AI services and are provided for informational purposes only. We do not guarantee the accuracy, completeness, or reliability of AI-generated profiles, summaries, talking points, or suggested tags. Enrichment results may contain errors, outdated information, or inaccuracies. Confidence scores indicate the AI's self-assessed reliability, not verified accuracy. You are responsible for independently verifying any AI-generated information before relying on it for professional or personal decisions.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WZJ INFINITY LTD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

This includes, without limitation, damages arising from:

  • Loss of digital assets, wallet compromise, or unauthorized transactions.
  • Blockchain network failures, delays, or errors.
  • Errors, inaccuracies, or omissions in the Service.
  • Unauthorized access to your account.
  • Third-party service failures or changes.
  • Inaccuracies in AI-generated enrichment content.

Our total aggregate liability for all claims arising from or related to the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $100.

14. Indemnification

You agree to indemnify, defend, and hold harmless WZJ Infinity Ltd and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights.
  • Your blockchain transactions and wallet activity.

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which WZJ Infinity Ltd is incorporated, without regard to conflict of law principles.

15.2 Informal Resolution

Before initiating any formal dispute proceedings, you agree to contact us at dev@convenu.xyz and attempt to resolve the dispute informally for at least 30 days.

15.3 Binding Arbitration

Any dispute that cannot be resolved informally shall be resolved by binding arbitration, rather than in court, except that either party may seek equitable relief in court for intellectual property disputes. The arbitration shall be conducted on an individual basis; class actions and class arbitrations are not permitted.

15.4 Class Action Waiver

YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

16. Termination

  • You may stop using the Service and close your account at any time by contacting us.
  • We may suspend or terminate your access to the Service at our discretion, with or without cause, and with or without notice.
  • Upon termination, your right to use the Service ceases immediately. Blockchain records created during your use will persist permanently.
  • Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution) shall survive.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last Updated" date at the top of this page. Your continued use of the Service after changes constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

18. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and WZJ Infinity Ltd regarding the Service.
  • Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
