Proprietary Software License Agreement

This software and its associated documentation, source code, object code, and all related materials (collectively, the "Software") are the proprietary property of WZJ Infinity Ltd ("Licensor") and are protected by copyright law, international treaty provisions, and other applicable intellectual property laws.

1. Grant of License

Subject to the terms of this Agreement, the Licensor grants you a limited, non-exclusive, non-transferable, revocable license to:

Access and use the Convenu application through its official distribution channels (web application, Google Play Store) for your personal, non-commercial use; and
Use the application's features as intended and described in the accompanying documentation and Terms of Use.

2. Restrictions

You may NOT, without the prior written consent of the Licensor:

Copy, reproduce, distribute, publish, or create derivative works of the Software or any portion thereof;
Modify, adapt, translate, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software;
Rent, lease, lend, sell, sublicense, or otherwise transfer rights to the Software to any third party;
Remove, alter, or obscure any proprietary notices, labels, or marks on the Software;
Use the Software for any commercial purpose, including but not limited to offering it as part of a competing product or service;
Use automated systems, bots, or scrapers to access the Software;
Use the Software in any manner that violates applicable laws or regulations.

3. Open-Source Components

The Software may incorporate third-party open-source libraries and frameworks, each of which is licensed under its own respective license (e.g., MIT, Apache 2.0, ISC). A list of these components and their licenses is maintained in the project's package dependency files (package.json, package-lock.json). The terms of this License do not override or restrict the rights granted by those open-source licenses with respect to those specific components.

4. Blockchain and Smart Contract Code

Any smart contract code, on-chain programs, or blockchain transaction logic that has been deployed to a public blockchain (including but not limited to the Solana network) operates autonomously on that blockchain and is subject to the immutable nature of blockchain technology. This License does not grant rights to redeploy, fork, or repurpose such code for independent use.

5. Intellectual Property

The Software, including all intellectual property rights therein, is and shall remain the sole and exclusive property of WZJ Infinity Ltd. This License does not convey any ownership interest in or to the Software, but only a limited right of use.

The Convenu name, logo (the handshake-C mark), and brand identity are trademarks of WZJ Infinity Ltd and may not be used without prior written permission.

6. User-Generated Content

You retain ownership of content you create within the Software (itineraries, contacts, notes). By using the Software, you grant WZJ Infinity Ltd a limited license to host and display your content solely for the purpose of providing the Service to you and your designated recipients.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of Liability

IN NO EVENT SHALL WZJ INFINITY LTD OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS LICENSE OR YOUR USE OF THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY.

THE LICENSOR'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED USD $100.

9. Termination

This License is effective until terminated. It will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy any copies in your possession. Blockchain records created during your use of the Software will persist independently of this License.

10. Governing Law

This License shall be governed by and construed in accordance with the laws of the jurisdiction in which WZJ Infinity Ltd is incorporated, without regard to its conflict of law provisions.

11. Entire Agreement

This License, together with the Terms of Use and Privacy Policy, constitutes the entire agreement between you and WZJ Infinity Ltd with respect to the Software and supersedes all prior agreements and understandings.
